Constitution of the Hammonton Youth Soccer Association


Article 1

Name and Address

The name and address of this Association is:

Article 2

Purpose

Section 1 – To develop the interests and skills of each member as an individual; to foster principles of sportsmanship, team and program spirit, honesty and loyalty through competition in the game of soccer.

Section 2 – To maintain a program geared to promoting the all around development of each child, appropriate to his or her age level, capabilities and capacities.

Section 3 – To provide opportunities for participation in the game of soccer with emphasis on basic concepts, values and behaviors associated with the sport.

Section 4 – To hold property and funds for the attainment of these goals.

Section 5 – To develop more interest among the participants in the community towards a better working relationship and better support and participation in all activities of the Association.

Section 6 – The Association is organized exclusively for charitable purpose; including, for such purposes, the making of distributions to organizations under Section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal Tax Code.)

Section 7 – No part of the net earnings of the Association shall benefit or be distributed to its members, directors, trustees, officers or other private persons, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payment and distributions in furtherance of Section 501 (c)(3) purposes. No substantial part of the activities of the Association shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the Association shall not participate in, or intervene in, (including the publishing or distribution of statements) any political campaign on behalf of, or in opposition to, any candidate for public office.

Section 8 – Upon the dissolution of this Association, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future Federal Tax Code, or shall be distributed to the Federal government, or to the State or local government, for public purposes.


Article 3

Government

Section 1 – The Association shall be governed by its Constitution, By-Laws, and Rules, as well as by the Constitution, Rules, Regulations and By-Laws of the U.S. Youth Soccer Association and the New Jersey State Youth Soccer Association.

Section 2 – The officers of this Association shall consist of a President, Vice-President, Recording Secretary, Corresponding Secretary, Treasurer, and two Trustees.

Section 3 – The Executive Board shall consist of the officers.

Section 4 – The Executive Board shall have the power and responsibility to provide for the efficient management of the Association and to approve all major policy decisions.

Section 5 – Whenever a majority of the Executive Board shall agree that an officer has been grossly negligent of his/her duties as defined by the By-Laws, or is incapacitated, they shall recommend that the office be declared vacant. If the Executive Board so votes by a majority of its members, it shall immediately elect a replacement to fill the unexpired term.


Article 4

Amendments

The Executive Board may adopt amendments to this Constitution by a majority of its members at any meeting.

Amendment 1: Change to Article 3, Section 2 – Effective January 2003, the duties of the Recording Secretary and the Corresponding Secretary will be combined into a single position called the Secretary. The positions of Recording Secretary and Corresponding Secretary shall be abolished. The Secretary will be an officer of the Association.

Amendment 2: Change to Article 3, Section 2 – Effective January 2004, the number of active Trustees may be no less than 3, and no more than 15. All active Trustees shall be considered members of the Executive Board.
